Terms & Conditions

Last updated: October 9, 2026

These Terms & Conditions ("Terms") govern purchases from and use of Welzo.us, including the related online store, accounts, content and customer services (together, the "Services"). The Services are operated by Clinician Formulas LLC, trading as Welzo.us ("Welzo," "we," "us" or "our"). Our principal address is 1309 Coffeen Avenue STE 1200, Sheridan, Wyoming 82801, United States. You can contact us at hello@welzo.com.

Welzo.us sells dietary supplements, red light therapy products and mobility products. In these Terms, "you" and "your" mean the person using the Services or making a purchase. A person placing an order for another individual must have authority to do so; that person's purchase does not, by itself, waive the other individual's independent legal rights.

IMPORTANT NOTICE: THESE TERMS INCLUDE WARRANTY DISCLAIMERS, LIMITATIONS OF LIABILITY, AND AN AGREEMENT TO RESOLVE MOST DISPUTES THROUGH INDIVIDUAL BINDING ARBITRATION INSTEAD OF A COURT OR JURY TRIAL. THE ARBITRATION AGREEMENT IN SECTION 30 INCLUDES A CLASS ACTION WAIVER, EXCEPTIONS AND A 30-DAY RIGHT TO OPT OUT. PLEASE READ THESE PROVISIONS CAREFULLY.

Nothing in these Terms excludes a right, remedy, warranty or liability that applicable law does not allow the parties to exclude or limit. Section 28 explains important exceptions to the liability limitations.

Contents

1. Agreement to These Terms

You agree to these Terms when you affirmatively accept them through a checkbox, button or other process that clearly states that your action constitutes acceptance and gives you access to these Terms. If you do not agree, do not complete an acceptance process or place an order subject to these Terms. Mere availability of these Terms on the website does not replace any notice or consent required by law.

These Terms apply to the extent a binding agreement has been formed. An individual purchase is also subject to the product details, price, delivery disclosures, applicable written warranty and other terms clearly presented and accepted for that purchase. Keep a copy of these Terms and your order confirmation.

The contracting seller for purchases from this store is Clinician Formulas LLC. A shared brand, website link, supplier relationship or use of another company's services does not by itself make another Welzo-branded business, an owner, employee, manufacturer or service provider a party to your purchase contract or a guarantor of our obligations. This provision does not eliminate anyone's independent liability under applicable law.

2. Eligibility and Authorized Purchases

You must be at least 18 years old, have reached any higher age required to enter a binding contract where you live, and have legal capacity to purchase. Product-specific age restrictions also apply. A purchaser's age does not establish that a product is suitable for a child or any other intended user.

Our store is intended for purchases for delivery to the United States at destinations we accept at checkout. Availability may differ by state, location and product. We may decline orders that we cannot lawfully or reasonably fulfill. We do not represent that products may be sold, imported or used in every jurisdiction outside the United States.

Unless we agree otherwise in writing, products are sold for personal or household use, not for resale, rental, relabeling, distribution or commercial treatment services. Wholesale, institutional and other business purchases require our written acceptance of the proposed use and may be subject to a separate agreement. You may not falsely describe a business purchase as a consumer purchase or vice versa.

3. Accounts and Information You Provide

You must provide accurate contact, delivery and payment information and keep it reasonably current. You must have authority to use the payment method and to provide information relating to another person. Do not submit information that is unnecessary for your order or inquiry, including complete medical records or payment card security details through ordinary email.

Protect your account credentials and notify us promptly if you suspect unauthorized access. You are responsible for activity you authorize and for your own failure to take reasonable account-security precautions, subject to applicable law. This does not make you automatically responsible for every unauthorized transaction or waive payment-card or security-related rights.

We may suspend access, require proportionate verification or close an account where reasonably necessary to address security threats, unlawful activity, material breaches or substantiated abuse. We will not use account closure to avoid a refund, warranty obligation or other legal duty. An honest complaint, negative review or good-faith payment dispute is not, by itself, abuse.

4. Other Policies and Order of Priority

Please review our Privacy Policy, Refund & Returns Policy, and shipping information presented before purchase. The Privacy Policy explains how personal information is handled; acceptance of these Terms is not a substitute for any separate privacy, cookie or marketing consent required by law.

Mandatory law prevails over conflicting terms. An applicable express warranty and a specific product or order commitment we make before purchase prevail over inconsistent general disclaimers in these Terms. More specific return, delivery or subscription terms clearly disclosed and validly accepted before purchase govern that subject, subject to mandatory law. These Terms govern remaining matters. We will not apply a new policy retroactively to reduce rights under an existing order.

Shopify supplies the ecommerce platform. Use of Shopify or another checkout or payment provider does not transfer our responsibilities as the seller to that provider.

5. Orders, Acceptance and Cancellations

A product listing is an invitation to place an order. Your order is an offer to purchase. An automatic order acknowledgment or payment authorization confirms receipt, not acceptance. Unless we expressly accept earlier, we accept an order when we send a shipment confirmation for the relevant item. Separate shipments may be accepted separately.

Before acceptance, we may decline an order for a genuine reason, including unavailability, a material listing error, payment failure, a delivery restriction, unauthorized resale, suspected fraud or a legal restriction. We will notify you and promptly release an authorization or refund amounts collected for a declined item. We will not charge a higher price or supply a materially different substitute without your agreement.

After acceptance, we will not cancel solely to avoid an agreed price or obligation. Cancellation may occur with your agreement or where law, a recall, genuine impossibility or another lawful ground permits it, with the refund or other remedy required by law.

To request a change or cancellation, contact hello@welzo.com promptly. We cannot guarantee that an order already released for fulfillment can be intercepted. If a permitted change-of-mind cancellation cannot be completed before shipment, the applicable return process applies. This does not restrict any cancellation right provided by law, a delayed-shipment notice or the subscription provisions below.

6. Product Information, Availability and Errors

Review the exact product, model, quantity, serving size, ingredients, dimensions, compatibility, electrical requirements and other material specifications before ordering. A product image may include props or optional accessories; only the items expressly included in the product offer form part of your order.

Minor packaging, color-display or appearance differences may occur without changing a product's material characteristics. Such differences do not authorize us to substitute different ingredients, strength, model, condition or promised performance without your agreement. If the delivered item materially differs from the accepted order, contact us before using it.

We may correct genuine typographical, pricing or availability errors. If an error affects an unaccepted order, we will give you the corrected information and seek approval where needed or cancel and refund the affected item. Corrections do not retroactively erase an express warranty, binding offer or other right established by law.

Individual results can differ. Testimonials, estimated performance and descriptions of ingredient research do not promise that every user will achieve the same outcome. This qualification does not excuse inaccurate advertising or remove an express, legally enforceable product promise.

7. Prices, Taxes and Payment

Unless clearly stated otherwise, prices are in U.S. dollars. Applicable taxes, delivery charges and any additional mandatory charges will be disclosed before you submit the order. Prices may change for future purchases. We do not offer retroactive price adjustments unless a promotion or separate written commitment provides otherwise.

You authorize the charges shown and accepted at checkout using the payment method you provide. Recurring charges require the separate subscription authorization described in Section 13. We may use payment processors, fraud-screening services and payment authentication. An authorization hold may temporarily reduce available funds even if an order is later canceled; the issuing institution controls its release timing.

Installment or financing arrangements offered by an independent provider are subject to that provider's separate agreement. A return or cancellation must also be communicated through the relevant process so that the provider can adjust the balance. We remain responsible for refunds and other obligations that applicable law assigns to us.

You are responsible for legitimate, undisputed amounts owed. We will not add a collection fee, late fee, interest charge or similar amount unless it is separately authorized and lawful.

8. Fraud Prevention, Chargebacks and Duplicate Recovery

We may review orders and claims using proportionate verification measures, including payment authentication, address checks, order history, product serial or lot numbers, shipment weights, delivery records and information you provide. We may ask for reasonable supporting information through an appropriate channel. We will handle personal information as described in our Privacy Policy and applicable law.

You must not knowingly use stolen payment information, impersonate another person, submit fabricated evidence, falsely claim nonreceipt, replace a returned item with a different or damaged item, or seek duplicate compensation for the same loss. We may contest demonstrably false claims using relevant records and pursue lawful remedies for proven fraud.

If you believe a charge or order is incorrect, we encourage you to contact us so we can investigate. You do not have to give up or delay a statutory or payment-network right to contact your bank, dispute a charge or seek assistance from a regulator. Filing a good-faith chargeback is not a breach of these Terms and does not automatically void a warranty or return right.

We may coordinate a refund with an open payment dispute to avoid paying twice, but we will not delay a legally required refund beyond the permitted period. If you receive both a merchant refund and a bank credit for the same charge, notify us and the bank so the duplicate credit can be resolved. We will not make an unauthorized new charge to recover it.

Carrier records, photographs and tracking scans may be relevant evidence, but no single record is automatically conclusive. We will consider credible contrary information. No automatic fraud penalty or chargeback fee is imposed by these Terms.

9. Shipping, Preorders and Delays

Available shipping services, destinations, charges and any stated dispatch commitments are disclosed before purchase. Estimated transit and delivery dates are estimates unless expressly guaranteed. Products may ship separately or through a fulfillment partner; we remain your seller.

We will ship within the time stated before purchase or, if no shipment time is stated, within the period required by applicable law, generally 30 days after receipt of a properly completed order. If we cannot meet the applicable shipment deadline, we will provide the required delay notice, revised timing, cancellation option and consent process. If the required consent is not obtained, we will cancel and provide the required prompt refund.

Preorder and backorder timing will be disclosed before purchase. Placing a preorder is not agreement to unlimited delays. A weather event, carrier disruption or other event outside our reasonable control does not remove a cancellation or refund right that the law requires.

Unless included in the offer, shipping does not include installation, assembly, carrying a product upstairs, removal of packaging, collection of an old item or specialist training. Any freight, curbside or appointment-based delivery conditions and material access requirements must be disclosed before purchase.

10. Delivery, Addresses and Risk of Loss

Check the delivery address, access details and contact number carefully. Tell us promptly about an error. A change may be impossible after fulfillment begins. If a customer-supplied error or missed agreed delivery causes reasonable additional redelivery or return costs, we may request payment of the disclosed and lawful actual costs, with supporting information.

Title to goods passes when we have received payment and the goods are delivered. Subject to mandatory law, risk of accidental loss passes on actual delivery to you, a person authorized by you, or a location you expressly authorized for unattended delivery. Handover to our carrier alone does not transfer this risk to you.

If you separately engage a freight forwarder or redirect a shipment after dispatch, responsibility for loss caused by that separate arrangement is assessed under applicable law and the facts of the delivery. We do not automatically disclaim responsibility for every shipment involving a forwarder.

Inspect the package and product as soon as reasonably practical. Tell us promptly about missing items, damage, an incorrect product or a delivery marked complete that you did not receive. Preserve relevant packaging and records where reasonably possible. We may request photographs or other reasonable evidence, with alternatives where appropriate. A delay in reporting may affect the available evidence, but a short reporting target does not replace statutory or warranty deadlines.

Do not use a product that appears unsafe, contaminated or damaged. For a suspected damaged battery, contact us for handling instructions before attempting a return.

11. Change-of-Mind Returns

Subject to the conditions below and any more favorable commitment presented before purchase, you may request a standard change-of-mind return within 30 calendar days after delivery. Contact hello@welzo.com with your order number and the items you wish to return.

  • Products must be unused except for reasonable inspection that does not affect their condition for resale as new, and returned with included accessories, manuals, components and original packaging.
  • Dietary supplements must be unopened, with their safety and hygiene seals intact. An opened or consumed supplement is not eligible for a standard change-of-mind return.
  • Red light therapy and other body-contact products must be unused and hygienic, with protective or hygiene seals intact where supplied.
  • Mobility products must be clean, complete and undamaged, without outdoor use, avoidable wear or unauthorized changes affecting their condition for resale as new.
  • Custom-made or personalized products and final-sale items are excluded only where the exclusion is clearly disclosed before purchase and permitted by law. A discount alone does not make an item final sale.

Obtain return instructions before sending goods. Our principal office is not a designated returns address. We will identify the correct return location and any battery or freight requirements. Send an authorized standard return within 14 calendar days after we provide instructions unless we agree to an extension. We will not make a return impossible by withholding instructions or imposing unreasonable conditions.

For a voluntary change-of-mind return, you pay the return shipping cost unless we agreed otherwise. Original delivery charges are not refunded unless the offer, our Refund & Returns Policy or applicable law requires it. Any special restocking charge must have been clearly disclosed and agreed before purchase; these Terms do not create an undisclosed percentage restocking fee.

For such voluntary returns, we may reject an ineligible item or make a lawful, reasonably documented deduction for missing components or damage beyond permitted inspection. We will explain the reason. We will not dispose of an item or add storage charges without an appropriate legal basis and notice.

These change-of-mind conditions do not limit remedies for defective, unsafe, damaged, misdescribed or incorrectly supplied goods, a recall, or other mandatory consumer rights. Opening packaging, testing a product or losing the original box does not automatically eliminate those rights.

12. Defects, Refunds and Replacements

For an incorrect, defective or damaged item, contact us with a description of the issue and reasonable order identification. We may arrange a proportionate inspection or request relevant evidence. We will provide the repair, replacement, refund or other remedy required by applicable law and any applicable warranty, including required return or collection costs. You are not required to buy shipping protection to receive those remedies.

When the law and applicable warranty allow us to choose among equivalent remedies, we may select repair, replacement or refund. A repair process must not deprive you of a remedy if it cannot be completed as required or fails to resolve a covered problem. Do not send a hazardous, leaking or damaged battery through ordinary mail.

Refunds are normally issued to the original payment method. We will not substitute store credit for a legally required monetary refund without a valid basis or your agreement. We aim to inspect eligible standard returns and issue an approved refund within 10 business days after receipt; a shorter legal deadline takes priority. Your bank may take additional time to post a refund after it has been issued.

Refunds reflect the amount actually paid for the affected item, after any valid discount allocation. A partial return may affect eligibility for a bundle or promotional gift only as clearly explained in the original offer and permitted by law. We will not impose a new promotional repayment condition after purchase.

Exchange availability depends on stock. Returning one shipment does not cancel a subscription; cancel future subscription orders using the methods in Section 13.

13. Subscriptions and Automatic Renewal, If Offered

This section applies only if you separately choose a subscription or recurring delivery option. A one-time purchase does not authorize recurring charges.

A SUBSCRIPTION AUTOMATICALLY CONTINUES AT THE PRICE AND FREQUENCY DISCLOSED WHEN YOU ENROLL UNTIL YOU CANCEL. YOU AUTHORIZE ONLY THE RECURRING CHARGES TO WHICH YOU EXPRESSLY AGREE, INCLUDING DISCLOSED TAXES AND SHIPPING.

Before enrollment, we will disclose the recurring price or method of determining it, billing and shipment frequency, trial or introductory terms, any minimum commitment, the first charge and how to cancel. We will obtain the required express affirmative consent separately from general acceptance of these Terms and provide an acknowledgment you can retain.

You may cancel online through the subscription management link supplied in your subscription acknowledgment or your subscription account. You may also request cancellation at hello@welzo.com. Cancellation must be straightforward and available through the methods required by applicable law. You are not required to accept an alternative offer, give a reason or make an unnecessary telephone call to complete online cancellation.

Cancel before the next disclosed billing time to prevent that charge. Cancellation stops future renewals; it does not automatically undo an order already validly charged and released for fulfillment before cancellation. Existing orders remain subject to the applicable cancellation, return and refund rights. An internal processing delay does not authorize additional renewal charges after an effective cancellation.

If a trial or introductory price is offered, its duration, subsequent price and cancellation deadline will be disclosed before enrollment. We will send renewal reminders, annual reminders, trial-expiration notices and price-change notices when required. A material change will be communicated before it takes effect, with a way to cancel, and we will obtain new consent where required. These Terms do not authorize an undisclosed or retroactive price increase.

A pause or skip applies only to the period you select and confirm. We will disclose when billing resumes. Updating or replacing a payment card does not itself cancel a subscription, and cancellation is not dependent on contacting your card issuer. Payment retries must remain within your authorization and applicable law. No new subscription charge is authorized after cancellation.

We may discontinue a subscription product or plan with appropriate notice and refund any payment for products we will not supply. Substituting a materially different product requires your agreement.

14. Promotions, Rewards and Gift Cards, If Offered

Promotion-specific eligibility, dates, limits and exclusions must be disclosed with the offer. Unless the offer states otherwise, promotional codes cannot be combined and cannot be applied retroactively. We may prevent duplicated, automated or fraudulent redemptions and withdraw an offer prospectively. We will not retroactively remove a valid earned benefit or change an accepted order simply because a promotion ends.

Rewards are governed by the disclosed program terms and are not cash unless expressly stated or required by law. Gift cards, if offered, are subject to their disclosed terms and applicable expiration, fee and cash-redemption laws. No expiration date or inactivity fee is created by these Terms. A fraudulent acquisition does not create a valid entitlement to credit.

15. Health Information and Professional Advice

Website articles, product guides, quizzes, recommendations and customer-service communications provide general information. Purchasing from Welzo.us does not establish a clinician–patient relationship or provide an individual diagnosis, prescription or medical assessment. The words "Clinician Formulas" in our company name do not change the retail nature of the transaction.

Seek advice from an appropriately qualified healthcare professional about suitability, medication interactions, an existing condition, pregnancy, breastfeeding, planned surgery or the use of a product by someone who needs clinical supervision. Do not delay medical care or replace prescribed treatment because of information on our website.

If you experience a serious reaction, injury or medical emergency, stop using the product and seek urgent medical assistance. Customer support is not an emergency service. These statements do not replace our obligation to provide accurate information, legally required warnings and reasonably safe products.

16. Dietary Supplements

Dietary supplements supplement the diet and are not substitutes for a varied diet, appropriate medical care or prescribed treatment. They are not intended to diagnose, treat, cure or prevent disease. The FDA does not approve dietary supplements for safety and effectiveness before marketing.

Read the current label, ingredient list, allergen information, directions, serving size and warnings before use. Do not exceed the labeled amount or combine products in a way that exceeds safe intake. Consult a healthcare professional about combinations with medicines or other supplements. Keep products out of the reach of children and store them as instructed.

Do not use a supplement if the safety seal is broken on receipt, the product appears contaminated, or it is past its labeled expiry date. Contact us about a suspected quality problem. Natural origin does not guarantee safety or suitability for everyone.

We do not guarantee a particular biological response, health outcome, laboratory result or athletic eligibility. If you are subject to anti-doping, employment or other testing, check the applicable rules and any product-specific certification before purchase. This does not qualify a certification or composition claim that we expressly make.

17. Red Light Therapy and Electrical Products

Use the exact product only for its labeled purpose and in accordance with its instructions, exposure limits, electrical specifications and safety warnings. Review the model's instructions about skin contact, eye protection, session duration, ventilation and supervision. Do not assume instructions for a different model apply.

Ask a qualified healthcare professional about suitability if you have a relevant medical condition, impaired sensation, a photosensitivity condition, take photosensitizing medication, or the product instructions call for medical advice. Do not use a product on a person who cannot safely understand or respond to discomfort without appropriate supervision consistent with the instructions.

Do not look directly into bright light sources contrary to the instructions; use specified eye protection. Do not sleep during use. Do not operate a product in water or wet conditions, cover or fold an operating device, or use it in another configuration unless the instructions expressly authorize that use. Use only a power supply and electrical setup meeting the model's specifications. Stop use if a cable, connector, controller or device is damaged, overheats or causes unexpected discomfort.

Wavelength, irradiance, LED count, treatment area and other specifications relate to the exact model and stated measurement conditions. They are not interchangeable measures or a guarantee of a clinical outcome. Only a regulatory clearance or approval expressly identified for the particular U.S. model and intended use should be relied on; facility registration or listing does not itself mean FDA approval.

No guarantee is made of a particular pain, recovery, skin, sleep or other health result unless expressly stated in a binding product commitment. This does not permit misleading product claims or override required warnings.

18. Mobility Products

Before selecting a mobility product, consider the intended user's size, weight, balance, strength, vision, judgment, transfer ability and operating environment. Obtain professional fitting or suitability advice when appropriate. Unless a separate assessment is expressly included, a retail purchase does not include a clinical assessment, occupational-therapy evaluation or personalized fitting.

Check the product's load limit, dimensions, turning space, slope limit, terrain requirements, braking system, transport method and assembly instructions. Do not exceed the stated capacity, carry an unauthorized passenger or use the product for towing or another purpose for which it is not designed.

Before each use, perform the inspections and maintenance required by the manual. Learn the controls in a safe environment and secure folding, locking and adjustment mechanisms. Do not operate while impaired or continue using a product with a suspected brake, steering, structural, battery or other safety fault.

Estimated range and speed depend on the disclosed test conditions and factors such as load, terrain, temperature, battery condition and operating style. They do not guarantee identical performance under every condition. We remain responsible for material specifications and claims we make about the product.

Do not assume that a product is permitted on a public road, pavement, transit service or aircraft. Verify the requirements that apply to the exact product and intended journey. Airline acceptance, vehicle fit, reimbursement, insurance coverage and Medicare or other benefit eligibility are not included or guaranteed unless we expressly agree otherwise in writing.

Unless expressly identified as suitable for occupied transport and used with the required restraint system, do not use a mobility product as a seat while traveling in another vehicle. Follow the instructions for lifting, loading and securing the product.

19. Batteries, Assembly, Maintenance and Safe Use

Follow the supplied charging, storage, assembly and maintenance instructions. Use batteries, chargers, parts and accessories that meet the product's specified safety and compatibility requirements. Do not charge a damaged, swollen or leaking battery, bypass a safety mechanism or modify the electrical system. Obtain appropriate assistance for assembly, lifting or maintenance that you cannot safely perform.

Do not continue using a product after discovering a safety defect. Contact us before returning a battery-powered product so that lawful packaging and transport arrangements can be made. You must comply with applicable battery shipping and disposal rules.

To the extent permitted by law, you are responsible for loss actually caused by your misuse, failure to follow adequate instructions, unauthorized unsafe modification or unreasonable continued use after a known hazard. This is not a blanket assumption of undisclosed risks or a release of liability for defective products, inadequate warnings or other conduct for which we remain legally responsible.

20. Written Warranties and Statutory Rights

Any written product warranty must be read with the product offer and warranty document available before purchase. Its identified warrantor, period, coverage, exclusions and claim process govern that warranty. These Terms do not create a universal warranty period or replace a product's written warranty.

We remain responsible for express warranties we make and obligations imposed on us as a seller. A manufacturer's separate warranty does not automatically replace your rights against Welzo. We may coordinate service with the manufacturer or another service provider without transferring a responsibility the law places on us.

When permitted by the applicable warranty and law, coverage may exclude a fault actually caused by misuse, impact, improper storage, inadequate maintenance, an incompatible accessory or a modification. Ordinary wear and a consumable reaching the end of its normal useful life are different from a defect present at supply. A categorical exclusion does not eliminate coverage for a manufacturing defect in that component.

Using an independent repair provider or third-party part does not automatically void a warranty. A covered claim may be denied for damage actually caused by that service or part only where permitted by law and the warranty. Product registration is not an additional condition of mandatory rights unless the law permits it and the condition was validly disclosed.

Where we provide a written consumer-product warranty or a service contract in circumstances in which federal law prohibits an implied-warranty disclaimer, the disclaimer in Section 26 does not apply. Any permissible limitation on an implied warranty's duration must be stated conspicuously in the applicable warranty and comply with federal and state law.

21. Safety Reports, Recalls and Cooperation

Report a suspected defect, adverse reaction, injury or product safety issue to hello@welzo.com, with the order identification and product lot or serial number if available. Do not delay urgent medical care to contact us. You may also contact a regulator directly.

We may issue safety notices, stop sales or arrange corrective action or a recall. Follow applicable stop-use and return instructions. Recall remedies are governed by the recall and applicable law, regardless of the ordinary change-of-mind return period.

Where reasonably possible and safe, preserve a product and relevant records while a claim is assessed. We will not require an unsafe item to be retained, shipped or used as a condition of assistance. These Terms do not restrict reporting to authorities or our regulatory reporting obligations.

22. Intellectual Property and Permitted Website Use

The Services may contain text, photographs, graphics, trademarks, product materials, software and other content owned by us or licensed to us. We grant you a limited, revocable, nonexclusive permission to access the Services for lawful personal shopping and information purposes. You may retain copies of your transaction documents and these Terms.

Except as permitted by law or written permission, you may not copy or commercially republish protected content, impersonate Welzo, use our marks in a misleading manner, defeat access controls, introduce malicious code, interfere with the Services or use automated access that materially disrupts the Services or unlawfully extracts protected information.

These restrictions do not prohibit fair use, lawful quotation, legitimate comparison, protected consumer reviews, accessibility tools or other rights that cannot lawfully be restricted. Report a suspected security problem responsibly to our contact address without accessing unrelated customer information.

23. Reviews, Feedback and Third-Party Content

You retain ownership of reviews and other original content you submit. By voluntarily submitting content for publication, you grant us a nonexclusive, royalty-free license to host, reproduce, display and make formatting changes reasonably necessary to publish and distribute it through our Services and review systems. This is not a transfer of ownership. Separate use of your likeness or content in an advertising campaign will require any additional permission the law requires.

You must have the necessary rights to the content you submit and must not include another person's private information, unlawful material or knowingly false factual statements. We may moderate content for lawful reasons, including spam, threats, irrelevance, infringement or disclosure of confidential information. Disagreement with an honest negative opinion is not, by itself, a reason to treat it as false.

You may share honest reviews and experiences, including negative ones. These Terms do not impose a penalty, confidentiality requirement or non-disparagement obligation for an honest review or lawful complaint.

Links to independent websites, tools or financing services are provided for convenience and may be governed by their own terms. We do not control their independent operations. This does not disclaim our responsibility for a provider acting on our behalf where the law makes us responsible, or for advertising or endorsements attributable to us.

24. Privacy, Cookies and Technology

Our Privacy Policy describes our collection, use, disclosure and retention of personal information and the choices and rights that may apply, including state privacy rights. Privacy choices and opt-out mechanisms must be exercised through the methods described there.

These Terms do not authorize undisclosed tracking, the sale or sharing of sensitive information, or a waiver of privacy rights. Any consent required for particular tracking, advertising, recording or other processing must be obtained through the appropriate separate process.

No website or transmission system is completely immune to interruption or unauthorized access. This observation does not waive our security, confidentiality, breach-notification or other legal obligations.

25. Electronic Communications and Marketing

We may send order confirmations, shipping updates, account notices, warranty communications and safety messages to the contact details you supply, as permitted by law. Keep those details current. Where applicable law requires a separate electronic-record consent or a paper alternative, we will follow that requirement.

Marketing email, text messages, automated calls and similar communications require the consent or other lawful basis applicable to that channel. Agreeing to these Terms does not by itself provide consent to promotional texts or calls, and consent to marketing is not a condition of purchase.

You can unsubscribe from promotional email using the link provided. If you separately enroll in a text program, follow that program's disclosed opt-out instructions, including replying STOP where supported. Message frequency and any message or data charges will be disclosed at enrollment. We will honor valid withdrawal requests as required by law. Transactional or safety messages may continue where legally permitted.

26. Warranty Disclaimers

SUBJECT TO SECTION 28, APPLICABLE LAW, AND ANY EXPRESS WARRANTY OR PRODUCT COMMITMENT THAT WE MAKE, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES RELATING TO THE SERVICES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, ONLY TO THE EXTENT THOSE WARRANTIES MAY LAWFULLY BE DISCLAIMED.

FOR PRODUCTS, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ONLY WHERE THE DISCLAIMER IS LAWFUL, CONSPICUOUSLY DISCLOSED BEFORE PURCHASE, AND CONSISTENT WITH ANY APPLICABLE WRITTEN WARRANTY OR SERVICE CONTRACT. NO PRODUCT IS SOLD FREE OF AN EXPRESS WARRANTY WE HAVE MADE OR A WARRANTY THAT THE LAW REQUIRES. THIS DISCLAIMER DOES NOT APPLY WHERE FEDERAL LAW OR YOUR STATE'S LAW PROHIBITS IT.

We do not promise uninterrupted website access, compatibility with every device or software environment, or a particular outcome from general informational content. We do not disclaim accurate product identification, binding product descriptions or other express commitments that cannot lawfully be disclaimed.

27. Exclusion of Certain Losses and Liability Cap

THE LIMITATIONS IN THIS SECTION ARE SUBJECT TO EVERY EXCEPTION IN SECTION 28.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WELZO AND ITS MEMBERS, MANAGERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOSS OF BUSINESS PROFITS, BUSINESS OPPORTUNITY, GOODWILL OR BUSINESS DATA, ARISING OUT OF THE SERVICES OR A PURCHASE, WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANOTHER THEORY, AND EVEN IF THE POSSIBILITY OF THAT LOSS WAS KNOWN.

FOR CLAIMS THAT MAY LAWFULLY BE CAPPED, OUR TOTAL AGGREGATE LIABILITY ARISING FROM THE SAME PRODUCT, ORDER, OCCURRENCE OR SERIES OF RELATED OCCURRENCES WILL NOT EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID US FOR THE AFFECTED PRODUCT OR PRODUCTS, INCLUDING ATTRIBUTABLE TAXES AND DELIVERY CHARGES. FOR A CLAIM RELATING SOLELY TO USE OF THE WEBSITE AND NOT TO A PURCHASE, THAT CAP IS US$100. MULTIPLE LEGAL THEORIES DO NOT INCREASE A CAP, BUT UNRELATED PURCHASES AND UNRELATED OCCURRENCES ARE NOT ARTIFICIALLY COMBINED.

Where lawful, the exclusion of particular categories of damages and the monetary cap are independent limitations. Each applies only to the extent it remains enforceable, including if a limited remedy fails of its essential purpose. These Terms do not require a court or arbitrator to enforce an unconscionable limitation.

Losses actually caused by customer misuse, unauthorized alteration or a failure to take reasonable steps to prevent avoidable additional loss will be assessed under applicable law. Those circumstances do not automatically eliminate liability for a defect, inadequate warning or our own legally actionable conduct.

28. Rights and Liabilities That Are Not Excluded

NOTHING IN THESE TERMS EXCLUDES OR LIMITS:

  • Liability for death or personal injury caused by a defective product, our negligence, or other conduct where applicable law does not permit the exclusion or limitation.
  • Liability for fraud, fraudulent misrepresentation, gross negligence, reckless conduct, willful misconduct or violation of law to the extent such liability cannot lawfully be excluded or limited.
  • A statutory consumer, product-liability, privacy or other right or remedy that cannot be waived, including damages, penalties or attorneys' fees that the law makes nonwaivable.
  • Our obligation to provide an agreed or legally required refund, remedy for nonconforming goods, recall remedy, or performance of an enforceable express warranty.
  • A right to seek public injunctive relief, make a report to an authority, exercise a protected payment dispute right or publish an honest review.
  • Any other obligation or liability that applicable law prohibits us from excluding or limiting.

Some states do not permit particular warranty disclaimers, damages exclusions or liability limits. The affected provision does not apply to you to that extent; the remaining lawful provisions continue to apply. The choice of Wyoming law does not remove mandatory protections of your home state that legally apply to your transaction.

29. Responsibility for Third-Party Claims

To the extent permitted by applicable law, you agree to reimburse Welzo for reasonable losses and costs finally awarded to a third party, or included in a settlement you approve, to the extent directly caused by your knowing unlawful use of the Services, fraud, material intentional breach of these Terms, or infringement of a third party's rights through content you submit.

This obligation does not apply to an ordinary good-faith consumer claim, honest review, payment dispute, injury or loss caused by a product defect or inadequate warning, or losses attributable to our negligence, misconduct or breach of law. It does not require you to indemnify us for our own responsibility.

We will give reasonably prompt notice of a covered third-party claim, permit reasonable participation in its defense and take reasonable steps to mitigate loss. No settlement may impose an admission, nonmonetary obligation or payment on you without your consent. Reasonable legal costs are recoverable only where this provision and applicable law permit.

30. Disputes, Individual Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IF YOU ACCEPT THESE TERMS AND DO NOT OPT OUT AS DESCRIBED BELOW, YOU AND WELZO AGREE TO INDIVIDUAL BINDING ARBITRATION OF COVERED DISPUTES. AN ARBITRATOR, RATHER THAN A JUDGE OR JURY, WILL DECIDE THOSE DISPUTES. COURT REVIEW OF AN ARBITRATION AWARD IS LIMITED.

30.1 Informal Resolution

Before starting an arbitration, the party bringing the claim should send the other party a written notice describing the dispute and requested resolution. Send notices to hello@welzo.com with the subject "Notice of Dispute," or to Clinician Formulas LLC, Attention: Legal, 1309 Coffeen Avenue STE 1200, Sheridan, Wyoming 82801, United States. Include your name, contact details, relevant order information and a reasonable description of the claim. We will send our notice to your most recent contact details.

The parties will attempt in good faith to resolve the matter for 30 days after the notice is received. This process is not a barrier to small-claims proceedings, urgent relief, a regulator complaint, a payment dispute or action needed to preserve a filing deadline. A claim is not forfeited because of a technical defect in a notice. To the extent permitted by law, applicable limitation periods are suspended during the agreed 30-day informal process.

30.2 Covered Disputes and Mutual Agreement

Except for the exclusions below, you and Welzo agree that disputes arising out of or relating to these Terms, the Services, an order, a product or our relationship will be resolved by binding individual arbitration. Covered disputes may include contract, warranty, misrepresentation, statutory and tort claims, but only to the extent the claim is legally arbitrable. This agreement is mutual and survives termination for disputes within its scope.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. A court will decide disputes about whether an arbitration agreement was formed, whether a person assented, and the validity or enforceability of this Section 30 or its class action waiver. The arbitrator will decide the merits of covered disputes and other matters properly assigned under the applicable rules.

30.3 Administrator, Rules, Location and Fees

Arbitration will be administered by the American Arbitration Association ("AAA") before one neutral arbitrator under its applicable Consumer Arbitration Rules and Consumer Due Process Protocol, and its Mass Arbitration Supplementary Rules where applicable. Rules, forms and fee information are available at www.adr.org. We will provide information on obtaining a copy on request.

The AAA's rules govern administration and fees subject to mandatory law and this agreement. We will pay the fees and arbitrator costs assigned to a business under the applicable consumer rules and any additional amount necessary to prevent the process from being prohibitively expensive under applicable law. We will not seek our arbitration costs or attorneys' fees from you unless applicable substantive law authorizes an award on the facts of the case. The arbitrator may award attorneys' fees or statutory remedies to you where the law provides them.

Arbitration may proceed by documents, telephone or video when the rules allow. Any in-person hearing will take place at a reasonably convenient location in your county of residence in the United States, unless you and Welzo agree otherwise. You are not required to travel to Wyoming for a consumer arbitration.

The arbitrator may award the relief available under applicable law for a covered claim, subject only to enforceable limitations, and will issue a reasoned written award. Either party may seek entry or enforcement of the award in a court with jurisdiction. No confidentiality obligation imposed by these Terms restricts lawful reporting, access to legal advice or protected disclosures.

If AAA declines to administer a case, any rights supplied by its rules or applicable law remain available, including a consumer's right to proceed in court where applicable. We will not insist on another administrator to avoid consequences of our failure to comply with AAA requirements or pay required fees. Where substitution is otherwise lawful, the parties may agree on another qualified administrator after the dispute arises; absent agreement, either party may proceed in a court with jurisdiction.

30.4 Exceptions

  • Either party may bring an eligible individual claim in small-claims court and keep it there while it remains eligible.
  • Either party may seek temporary court relief needed to prevent immediate irreparable harm or preserve the status quo pending arbitration, without waiving arbitration of otherwise covered claims.
  • A claim or remedy that applicable law does not permit to be arbitrated remains available in a court with jurisdiction.
  • You may contact and cooperate with government agencies, regulators and law enforcement. Their independent enforcement powers are not restricted.
  • Nothing waives a nonwaivable right to seek public injunctive relief. If such a request cannot lawfully be arbitrated, a court may decide it, and any separation or stay of related claims is governed by applicable law.

30.5 Individual Proceedings and Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, COVERED DISPUTES WILL BE ARBITRATED ONLY ON AN INDIVIDUAL BASIS. YOU AND WELZO WAIVE THE RIGHT TO HAVE A COVERED DISPUTE ARBITRATED AS A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION, OR TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER IN SUCH AN ARBITRATION.

Separate claimants' merits will not be combined into a class arbitration without the written agreement of all parties. Administrative coordination under applicable AAA mass-arbitration rules does not itself create a class arbitration. This provision does not eliminate public injunctive relief or any other nonwaivable remedy and does not restrict rights in proceedings that the law requires to remain in court.

If a court determines that this waiver cannot be enforced for a particular claim or request for relief, that claim or request will proceed in court to the extent required, rather than in class arbitration. Other legally separable claims remain subject to individual arbitration where lawful.

30.6 Your 30-Day Right to Opt Out

You may reject this entire arbitration agreement, including the class action waiver, by sending an opt-out notice within 30 calendar days after you first accept these Terms. Email hello@welzo.com with the subject "Arbitration Opt-Out," or mail a notice to the principal address above, Attention: Legal. An email sent, or a mailed notice postmarked, within the 30-day period is timely.

Include your name, the email address associated with your account or order, and a clear statement that you opt out of arbitration. Provide enough information for us to identify you; a notarized statement, special form or explanation is not required. Keep a copy of your notice. Opting out will not affect your purchases, prices or other rights. If you opt out, neither party is bound by this Section 30, and the remainder of these Terms continues to apply.

30.7 Changes and Time Limits

We will not apply a later amendment to this arbitration agreement to a dispute of which either party already gave notice. A material expansion requires clear notice and valid assent, with a new 30-day opportunity to opt out of that change. A previous valid opt-out remains effective unless you subsequently make an express, separate agreement to arbitrate.

The filing deadlines supplied by applicable law govern. These Terms do not impose a general one-year deadline or shorten the period for asserting a consumer, injury or warranty claim.

31. Governing Law and Courts

Except where federal law governs, these Terms are governed by Wyoming law, without applying conflict-of-laws rules to deprive you of mandatory protections that legally apply in your state of residence. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

For disputes that are not subject to arbitration, the parties consent to the state courts serving Sheridan County, Wyoming, or the United States District Court for the District of Wyoming where it has subject-matter jurisdiction. To the extent lawful, those courts are the agreed forum. However, you may use an eligible small-claims court in your county of residence, and any mandatory right to bring proceedings in your home state or another legally required forum is preserved. These Terms do not impose a separate blanket waiver of a jury trial in court.

32. Changes to the Services and These Terms

We may change or discontinue parts of the Services prospectively, subject to existing orders, subscription requirements and other legal obligations. A temporary service interruption does not cancel an accrued refund, warranty or other right.

Updated Terms will carry a revised date. Material changes require notice and any assent required by law. Posting an update alone does not retroactively change a completed purchase, waive an accrued claim or create new permission for recurring charges. An order is governed by the version validly accepted for that order, and arbitration changes are also subject to Section 30.7.

33. Events Outside Reasonable Control

To the extent permitted by law, we are not responsible for a delay in performance directly caused by an event beyond our reasonable control that we could not reasonably prevent or overcome, such as a natural disaster, widespread infrastructure outage or lawful government restriction. We will take reasonable steps to reduce the effect and communicate material order delays.

This provision does not excuse payment of a required refund, compliance with delayed-shipment rules, reasonable safeguarding of information or performance of a nonwaivable legal duty. It does not require you to accept indefinite delay or pay for goods we do not supply.

34. General Contract Provisions

Entire agreement. These Terms, the disclosures and policies validly incorporated into your transaction, any applicable express warranty and any separate agreement we sign constitute the agreement for their subject matter. This provision does not exclude liability for fraud or erase a representation that the law treats as binding.

Severability. If a provision is unlawful or unenforceable, it will be limited or severed only to the extent legally permitted and necessary. The remaining provisions continue in effect where the agreement can lawfully operate. The specific severability rules in Section 30 govern arbitration issues.

No waiver. A delay or failure to enforce a provision does not, by itself, waive it. Any waiver must be validly made and applies only to the matter identified. Neither party loses a nonwaivable right through silence.

Assignment. We may transfer this agreement in connection with a legitimate reorganization, financing or business transfer if your existing contractual and statutory rights are preserved. Any necessary consent or notice will be obtained or given. You may transfer rights where applicable law or an applicable warranty permits, or with our reasonable written consent.

No unintended beneficiaries. Except for the persons expressly protected by an enforceable provision of Section 27, these Terms do not create contractual enforcement rights for third parties. Third parties retain any independent rights supplied by law. No third party gains broader protection than Welzo has under these Terms.

Survival. Provisions that by their nature need to continue, including accrued payment obligations, intellectual-property provisions, lawful liability limitations and a valid dispute-resolution agreement, survive termination. Survival does not extend a limitation period or revive an unenforceable term.

Interpretation. Headings are for convenience. Examples do not expand a provision beyond its lawful meaning. Any translation is provided for convenience, subject to applicable language and disclosure requirements; these Terms do not remove protections associated with the language in which a transaction is conducted.
